La Toile du Qu‚bec is going public by taking control of Cristobal Resources Inc. MONTREAL, April 15 /CNW/ - NETgraphe Inc. (``NETgraphe') is joining forces with Cristobal Resources Inc. (``Cristobal') to achieve its goal of becoming a public company. NETgraphe will in this way be able to ensure strong growth and better service to its Internet clients. Cristobal, a public company listed on the Montreal Exchange and NETgraphe announce the execution of an agreement to merge their operations. NETgraphe, a leader in internet publishing in Quebec, is a private company which owns a number of major websites, including ``La Toile du Qu‚bec'. NETgraphe also provides design, production and maintenance services in this area. This transaction constitutes a takeover of Cristobal by NETgraphe. The common shares of Cristobal will be consolidated on a basis of between three and four old shares to one share of the resulting company. Following the transaction, the existing shareholders of NETgraphe will hold a majority of the consolidated shares of Cristobal. This transaction is subject to regulatory approval.
