La Toile du Qu‚bec is going public by taking control of Cristobal Resources Inc.

MONTREAL, April 15 /CNW/ - NETgraphe Inc. (``NETgraphe') is joining
forces with Cristobal Resources Inc. (``Cristobal') to achieve its goal of
becoming a public company. NETgraphe will in this way be able to ensure strong
growth and better service to its Internet clients.
Cristobal, a public company listed on the Montreal Exchange and NETgraphe
announce the execution of an agreement to merge their operations. NETgraphe, a
leader in internet publishing in Quebec, is a private company which owns a
number of major websites, including ``La Toile du Qu‚bec'. NETgraphe also
provides design, production and maintenance services in this area.
This transaction constitutes a takeover of Cristobal by NETgraphe. The
common shares of Cristobal will be consolidated on a basis of between three
and four old shares to one share of the resulting company. Following the
transaction, the existing shareholders of NETgraphe will hold a majority of
the consolidated shares of Cristobal.
This transaction is subject to regulatory approval. The board of
directors of Cristobal will recommend to its shareholders that they vote in
favour of this transaction at their Annual and Special General Meeting
expected to be held at the end of June.
