QuadraMed develops, markets and sells a suite of financial management and decision support software products and services designed to enable healthcare providers to increase operational efficiency and measure the cost of care and to facilitate the negotiation of managed care contracts and capitation agreements. QuadraMed has developed an all-payer, open systems-based electronic data interchange ("EDI") system designed to collect detailed clinical and financial information efficiently from its provider customers and to speed the reimbursement of their third-party claims. The Company's financial management products are designed to increase the accuracy and timeliness of reimbursement, as well as to improve work flow through the use of electronic files and document imaging for management of clinical and financial information and patient records. By accessing the enhanced data stream created by the Company's EDI and financial management products, the Company's decision support products enable providers to measure clinical outcomes and the resources consumed in achieving such outcomes. In addition to its software products, the Company provides business office outsourcing and cash flow management consulting services. In addition to these products, the company markets payer-based EDI solutions which include enabling technology which allows payers to build and control strategic EDI networks which link them to the provider's desktop. These solutions include communications management, translation, validation and database functionality to process all payer, all claims transaction for managed care and traditional insurance payers. The payer-based network services range from direct provider access to more than 300 payers to leasing private network segments for enterprise EDI solutions, to outsourcing a payer's existing EDI operations. The Company's financial management products allow providers to track payer contract terms and to hierarchically review medical records information to ensure that a bill is properly coded and includes all services rendered. This capability facilitates providers' ability to obtain timely and accurate reimbursement and to measure the profitability of managed care contracts. Moreover, through electronic document imaging and information transfer, the Company's products are designed to improve work flow, allowing providers to move toward a paperless office environment for most reimbursement, administrative and decision support functions. The Company's decision support products include database analysis software and national and regional benchmark data that enable customers to perform clinical, financial and marketing analyses. These decision support products utilize the enhanced data stream created by the Company's EDI products to build proprietary databases that enable providers to accurately measure the resources consumed in achieving clinical outcomes and to balance such outcomes against the associated costs. The Company has completed and implemented eight acquisitions since it was established in September 1993. Management believes that opportunities for strategic acquisitions continue to exist in the healthcare information systems and services industry.
