CORPORATE SUMMARY

JVWeb was formed to pursue electronic commerce opportunities over the Internet. Its objective is to offer products, services and advertising through joint ventures with established businesses. JVWeb in partnership with Learnout & Hauspie (LHSP:Nasdaq) of Belgium provide the technical and web marketing expertise while the established businesses provide the products or services offered and the related business expertise. To capitalize on the business opportunities presented by electronic commerce, JVWeb has the potential to raise $22.5 million in cash through the exercise of warrants associated with the public registration. In addition, some 5 million JVWeb common shares have been registered for possible future acquisitions. As part of its business strategy, JVWeb expects to acquire complementary companies, products, services, or technologies including emerging electronic commerce, traditional companies with good prospects for significant electronic commerce, and internet service firms capable of enhancing JVWeb's internet resources.
