An application has been granted for the original listing on the Toronto Stock
Exchange in the industrial category of 20,596,500 shares, of which 17,375,000
common shares will be issued and outstanding, and 3,221,500 shares will be
reserved for issuance upon completion of a public offering.
Listing of the common shares will become effective at 4:01 p.m. on Sept. 20,
1999, in anticipation of the public offering closing on Sept. 21, 1999. The shares,
other than those which have not been distributed to the public, will be posted for
trading at the opening on Sept. 21, 1999.

The company is a Canadian on-line retailer of books, music, CDs, videotapes,
DVDs and software, operating through its principal Web site Chapters.ca.
Following completion of this offering, the company's parent, Chapters Inc., will
hold approximately 71.7 per cent of the outstanding shares.
Pursuant to the terms of a prospectus dated Sept. 14, 1999, CIBC World
Markets Inc., Yorkton Securities Inc., Merrill Lynch Canada Inc., and
ScotiaMcLeod Inc., as underwriters, are offering 3,375,000 common shares to
the public at a price of $13.50 per share. Net proceeds will be used as follows:
i)
approximately $20-million for marketing and operating expenses,
enhancements to the company's Web site and on-line retailing operations and
other capital expenditures; and
ii)
the balance for general corporate purposes including working capital and
acquisitions or investments in complementary businesses, technologies,
services or products."
