Nothing Corp is real. Real in that it really is incorporated in Las Vegas, Nevada and has filed a Form 10 with the SEC. The President, Secretary, and Treasurer of Nothing Corp is 26 year old Anthony N. DeMint. DeMint also holds, or has held, those three positions in 30 other Vegas companies (see post #1 for a complete list). As for Nothing Corp, it was incorporated in 1999 on, you guessed it, April 1st! From Nothing Corp's Form 10: We have no full time employees. Our president has agreed to allocate a portion of his time to our activities, without compensation. The president anticipates that our business plan can be implemented by his devoting no more than 10 hours per month to our business affairs and, consequently, conflicts of interest may arise with respect to the limited time commitment by such officer. Management is currently involved with other blank check companies, and is involved in creating additional blank check companies similar to this one. A conflict may arise in the event that another blank check company with which management is affiliated is formed and actively seeks a Target Company... secinfo.com As a matter of fact, the entire Form 10 is remarkable for its candor. For example: The Company is unlikely to continue as a going concern... the Company has no current source of revenue. Without realization of additional capital, it would be unlikely for the Company to continue as a going concern... We are an insignificant participant in the business of seeking mergers wherein a large number of established and well financed entities are our competitors. We are and will continue to be an insignificant participant in the business of seeking mergers with and acquisitions of business entities... Our limited funds and the lack of full-time management will likely make it impracticable to conduct a complete and exhaustive investigation and analysis of a Target Company. The decision to enter into a business combination, therefore, will likely be made without detailed feasibility studies, independent analysis, market surveys or similar information which, if we had more funds available to us, would be desirable... Ha ha. Very funny, right? Maybe not... if you hold stock in any of the following companies that have merged with a DeMint shell. Vertical Computers Systems, Inc. (VCSY) (1.01/1.01/.54) Does this make Mr. DeMint a bad guy? No. By his own admission he just provides empty shells.
