GAAY - buyout offer confirmed, /06/99 - Triangle Broadcasting Company Inc. Announces That a Decision Will be Made by the Close of Business Monday, Aug. 9, 1999 PALM SPRINGS, Calif., Aug 6, 1999 (ENTERTAINMENT WIRE via COMTEX) -- Triangle Broadcasting Company Inc. (OTCBB:GAAY ) confirmed today that they are considering an unsolicited bid by Integrated Healthcare Inc. Management has asked Integrated Healthcare (OTCBB:ITHC ) to deliver a more definitive management plan which includes a firm contract, instead of a letter of intent, as is typical in the industry by the close of business Aug. 9, 1999. "We are evaluating all aspects of this transaction to see what best suits our shareholders," stated Frank Olsen, chairman. "The proposed arrangement must allow us to move to the next phase of development." The offer includes the acquisition of all "in process" mergers which include the Palm Springs Production Center and the television station on a separate basis. The transaction is staged into multiple parts but is executable quickly. Management will advise shareholders after Monday evening when a full outline of the plan will be available. Olsen stated, "No one has a clear picture yet, not even management let alone anyone in the marketplace of what the final deal will be."
