News is out on compass data deal. here is the scoop Jack gets roughly 750k in Elaw stock 144 Jerimiah and John also get 750k in Elaw stock 144 Now here is where the " FUZZY MATH " comes in. Remember Compass only had 6 million shares issued. Well, the total alone that the triple J's are selling to Elaw is a tad over, 7,500,000 shares. opps, those numbers don't look right do they. Were already 1.5 million in the hole and we haven't even counted us poor souls yet have we. Lets figure that we had 3 million, the Tripple Jays had 3 million. Looks like to me that they increased their shares to 9 million, Dam how nice, wish I could do that. Okay so now we have 12 million shares and their cut comes out to almost 31 cents per share. Divide the .31 cents into the 3.6 million that ELAW said was the max that they would pay for Compass and you get 11,600,000 shares. So the Fuzzy Math comes out from Diluting our value from 6 mil into 3.6 million .60 cents per share to now 11.5 million into 3.6 million or says 30 cents per share. So just lost 50% of our equity. But I will comment on this later. So I hope everyone has their BU!! lube out cause the Triple J's just stuck it in and broke off the red hot poker. But now for the best part. We will have to wait a year to have ELAW buy us out, while the Triple J's shares, ( remember they are 144's, will probably go from 1 buck per share to over 5 bucks per share in the next year ) so their 750k each turns into 3.5 million why we wait 1 year to get .30 cents per share for our stock. SORRY TRIPLE J'S, BUT I WILL TAKE ME ELAW STOCK NOW AND TAKE ME CHANCES ON THEIR STOCK GOING UP OR DOWN, I WILL EVEN TAKE 144 STOCK RIGHT NOW. One last question for the Triple J's Why did they have to sell all their stock, why couldn't they take the shareholders 3 million shares and then just sell HALF of their shares. WHY you ask. That way they would retain ownership in Compass to make sure that it survive the year until the final buyout.
