I wouldn't be surprised if we did not end up with some additional SMARTALK stock sometime next year. If they liked the UK outlets why not the ones in Canada. Its obvious Joe's push in this area will be the prepaid cellular not phone cards. If this turns out to be the case Joe will have to find a way to do the deal without a 70 day QUIET PERIOD. We would all go crazy.

Lou, all I was stating was a paragraph from the 8-k that says the following.

"A non-compete clause in the agreement will preclude DCI or its
subsidiaries from engaging in the prepaid phone card products business in the UK for a period of seven years."

This is somewhat broader than just WH Smith. The cellular phone is I agree a totally different business.

As for the 9 mill just wanted to ensre that folks knew that is was not a pure cash deal.

Lou, I don't know if DCI could sell their 400,000 shares of SMTK stock Not that the Market couldn't take it in, the stock traded over 300,000 shares today alone...

But I'd guess we are getting restricted shares, Sec 144 stock. We COULD BORROW against it though.

Take a look at the CHART for SMTK. I don't think selling the shares would be a wise move even if we could do so. The stock is $20 today, and the chart says the stock could be as high as $30 in early 1998. Our $8m worth of stock just GREW to $12m (g)
