<<Pat, why do you think Amati is recommending this deal? I would have preferred at least some equity
stake in TI to a simple cash offer. Didn't MCI turn down GTE's cash offer in favor of WorldCom
shares. I'm hoping this offer finds other OPTIONS.>>

yahoo.com

"The boards of both companies have unanimously approved the deal and Amati's directors have recommended that the company's shareholders accept the offer."

Cash is ALWAYS king. You can BUY TXN shares (I have and will continue)

<..It's more than money. Its about being a part of something special..>

Good luck all-

[Buyout]

<<<They will have to pry the shares out of my cold, dead hands --and, on a positive note, at least you won't have to go out with the boy with oxford shoes and thick glasses whose father is the mayor of the town.>>>

Michael --

My take and my take only: I think the guy with the thick glasses overstated his father's influence with the mayor and overestimated the family business, as well.

If I'm accepting it's only because I don't see any point in wasting emotional energy if the die's been cast. If by not vesting I can stall the close till '98, I'll do it. If a protest would get us shares instead of cash, I'd do that, too. I just don't believe my opinion will make a bit of difference. However, having said that, I know there are 4M shares that won't be vested. Not all mine. :)

Cheers!

Pat

(Mike: I'll take a flyer and give you my take.) TXN has plenty of cash so has no need to use stock for the transaction. By using cash, the cost of the purchase is fixed at the dollar amount paid for the AMTX stock. If stock is used, the eventual price TXN pays is much higher since the TXN mgmt. expects the firm will cont. to prosper and the price of TXN shares will go up. If stock were used, the cost, as God would see it, would be increased by the amount the value of the stock, used in the transaction, increased over time. Many people believe that using stock to make a purchase is a cheap way to expand the company. Actually, if one has the cash, it is much cheaper to use it rather than stock. Regards: Cliff
