Its quite legal. It's not an offering. The company involved is public and the group is private with less than 50 members so its not a reporting group.

They don't require any offering memos because its a flow through PP and it is part of larger under the wire PP. The mechanism is not new.

Don't worry about the legalities for us. The guy puttin it together is a coporate lawyer.

I have packaged investors before for companies.

The exit is 1 year on these flow thoughs. But I can get you out quicker than that in certain circumstances. That has been figured out.

Don't tell me how its done. If you are a serious investor ask me and
I will tell you how it's done. But I ain't in the education business.
If you want to come in, it gets explained. Otherwise its academic.
We have done it before.

jimc; As I see it he can speak about it to as many people as he likes, but a max of 50 can belly up and take part if he wishes to stay fully private.
Offering memorandums are on file in the public record so all you need to do is find one close to what you want to do, and modify it a little and it will run OK. The lawyers are not really needed, as an experienced hand can do all the boiler plate.
Sometimes the buyers ask their lawyers about it, making work for that group, and as a professional courtesy that ask for a few small changes, to keep the work flowing.

There is no real requirement for lawyers to bless all things. It is typical of our society that they try to do it.
I once paid off a morgage for $100,000 and the bank wanted $250 for a discharge and filing of same.Robbery fee for a receipt. I took my receipt and obtained a judicial discharge for just the filing fee at the court. The banks and lawyers try to insinuate themselves into many transactions in this way.

resurrections of corporations are also another cash cow, I could go on.

Note a tonne or a metric ton is about 2204 avoirdupois pounds.

To convert grams per metric tonne or Parts per million to troy
ounces per short ton of 2000 pounds, just multiply by .029167.
A Troy ounce is 31.1029 grams and there are 29,167 of them in
short ton. For easy calcs just divide grams by 3 then by 10 to
get ounces very roughly.

To convert tonnes to short tons, multiply by 1.102 or add 10%

I would say Cross Lake is not "typed" yet. It is high in lead and
so far low in copper and gold. This is not fair to the deposit as
copper is usually zoned and averages are not showing up yet. And
this is evident in higher copper and golds in hole 16 and 17 where
copper was more massive. It is more similar to the NWT deposits or
perhaps Sturgeon Lake in Ontario than the typical type. It is very
close to some Granite bodies and perhaps got extensively reworked,
sheared and remobilized giving it funny characteristics. First find
the ore then make a theory. To find 3 million tons with present
widths he must find 800 feet long of a body dipping downwards or
plunging for 350 feet. He could outline this with about 40 holes.
This should take about 3 months with 2 drills. The deposit could
well be larger than this. Its width indicates its tonnage should
be larger than 1 million tons. How much larger we will have to wait
and see.

We note that the anomaly associated with the deposit is 1.8
kilometres long. It could not all be ore. If it were I would sell
everything I owned to buy stock. GKR has had some drilling success
with the adjacent deposit which is a continuation of this one. It
(GKR) is by no means homogeneous and has some extremely high golds
in places.. 4 grams over 45 feet. So far the GKR deposit does not
excite as a base metal find. But these things take a fair amount
of work to discount.

GKR is Golden Knight Resources GKR/VSE. They have just recently
taken a PP with Cross Lake and made a financing agreement with the
junior, Cross Lake, CRN/VSE.
