Asset manager buying for index fund depending on index it would be required to add if the stock is being bought by others to run up stock in index they to buy to keep up

The second largest is Morgan Stanley Funds. The fine print may say how they vote them when the underlying holder leaves an issue blank but is held in Street Name.

Read the proxy statement, or Proxy Contest, and vote. The deadline to vote on TWTR hasn't been filed yet, but will be about 5/26/2022.

There should be a way for individual holders to specify their vote, even when held by Vanguard or Blackrock.

If Blackrock gets votes from the actual holders, it could open a competitive way to market a vote in another money market fund.

The “date of event” on the 13G filing was March 31, meaning Vanguard increased its position sometime in March. Securities regulatory provisions state that any institutional investor who owns more than 10% of a company must file a 13G form “within
10 calendar days reporting the holdings as of the close of the month.” Therefore, the date of event signifies Vanguard’s TWTR holdings as of March 31. In February, Vanguard reported an 8.8% stake, so its most recent purchase pushed it above the 10% threshold.


Vanguard has an average holding period of 38.62 quarters (or nearly 10 years) for the stocks in its portfolio. As a result, investors should expect the firm to keep its shares of Twitter for the long term. However, Vanguard made its purchase before the Musk acquisition offer. Because of that, it will be interesting to see if the firm adjusts its position based on recent news.

The Proxy Statement came out 2/22/2022 for the Annual Meeting 5/25/2022, which will be a virtual meeting.

I would expect it to be filed as amended by the shareholder changes, including the Proxy Contest.

Usually you can vote the day before. Four ways, including at proxyvote.com are listed on page 6.
