Clarification:

Looks to me like they still plan to sell the microbiology division.

Yes, AccuMed intends to sell the microbiology portions of the business and focus entirely on the cytopathology product line.

Cisco,

I don't understand how the private placement warrant offering @ the stipulated price range would not be considered to be in the money and have intrinsic value?

We have been through this in the past and there was a required (S.E.C.) accounting charge taken in a later quarter as a result of that delivering of warrants at a price that was below the then current common stock share value. I do believe it was going back to a time when the share price was in the vicinity of $3.5 and the warrants were issued at $3.25. (Exactly about a year ago???) What is different here??????

If the recent "penned" deal was signed at a time prior to the last couple of days then I would not see a problem.....however if it was signed within the last two days...would that not represent intrinsic-value being granted... with the consequence being the same as before...an accounting charge to be taken by AccuMed?

Frank

Cisco,

<<Looks like we dodged a bullet today.>

Must have been that strong cross-current wind blowing across the grassy-knoll that caused the bullet to miss its intended mark. Wind-drift during the Ides-of-March can do some strange things.

Any ideas on the identity of the suitors looking at the micro-division? I know AccuMed paid $6 million for the Difco ESP Blood Culture Line exactly one year ago this month. Difco said they had annual revenues of $16M (from it) when they sold it. I hope AccuMed produced at least $12 M in sales from it . It would be nice to get back at least what was paid for it.

Maybe Difco misses the $16 M revenues and found out that the return on Treasury Issues is pretty low lately. Do you think that they will reverse their previous action? Perhaps Difco didn't even throw away their ESP printed stationery and such.

Could happen...I know people who have divorced and then remarried their ex's again. There has to be a name for that????? (Besides masochistic)
