Good evening Bachman,

Well, I finally got confirmation from a CPA friend of mine the reason for exercise of stock options and sale of stocks. He told me that if you hold into the next tax year you trigger an ATM (26%). He gave me a lot of details, but my eyes started to glaze over! The bottom line is that when you see options exercised and the stock immediately sold its a tax-driven strategy and has nothing to do with the health or lack thereof of the company. Ask me no questions about this, because I don't understand any of it -- I'm just repeating what he told me <VBG>

TTFN,
CTC

DELL Shareholders Meeting and SI Group Gathering

I called DELL Investor Relations earlier this week, to inquire about our request for a management briefing and facilities tour in conjunction with the 1998 Shareholders' Meeting to be held at the Austin Convention Center. Mr. Williams is out until the 22d of June; therefore on Monday I talked to Michelle Hoody, who promised to get back to me, but has not yet done so. Ergo...

I think that we should consider the chances of a factory tour as zero. I suspect the same holds true for a management briefing. My apologies to all who have made plans or incurred expenses based solely on expectations of the above. If any of you who committed to come should decide to change your minds, I will understand. If you have incurred non-recoverable expenses, based on my idea of a factory tour and management brief, let me know and I will do my best to reimburse you. I am truly sorry about this.

Here is the most current list of participants who had committed to the tour and brief:

# Name
2 Flinn, Glen
1 freeus, Lynn
2 Hendel, Lee
1 INTCfan
3 Jones, Diana
2 Matter, Kemble
1 McDaniel, Patrick
2 Moseley, Annette
1 Mullineaux, Gregory
2 Nabors, Bachman
1 Protsenko, Jimmy
1 Rosser, John
2 Scott, Steven J.
2 Smith, Darrell & Nancy
2 Stembol, Sig
1 Swiss, Drew
1 Thompson, Judith
1 van Wijk, Paul
1 Wall, Stephen
1 Yeagin, Donnie
1 Hester, Stephen*
1 Weis, David*

* Standbys, in case we get the tour and there is room.

I also talked to the Drury Inn (512-467-9500) and am told that the response for our group (Group #2047) has been very limited (7 confirmed reservations) thus far.

I still believe that it would be fun to get together and meet each other socially. However, I do understand that you may not have the time or inclination to do so, in light of the probability of no tour. I need to confirm numbers for the dinner and show soon, so would appreciate your letting me know.

Although I am very disappointed, I don't mean for this post to be a downer. I remain hopeful that DELL will be able to do something for us, but in the meantime you needed to know the status.

Thanx, bachman (3)
