Hi Marty,

I had to call the company to become informed that the Shareholder's
meeting was/is delayed until late Oct.
Is this just another example of management "not giving a shit" about their individual investors?

There must be a required time period that the company must inform
shareholder's of any rescheduling of a shareholder's meeting?
Even the smallest corporation must, must inform shareholders immediately when a decision is made to delay a shareholder's meeting.

This is just another example of how things are managed over there.

I sure hope you are correct that, indeed, MRVC is a "viable" company.
How is an individual shareholder to know this to be true after the
lost confidence in management, visit the company to see if it is still
in business? I've done this and I can't tell if it is a viable company.

You seem alot more confident than me.
Have you personally had the ear of someone that has assured you to the extent that you are reasonably confident about things?

Please don't take this personally. I do not intend my blasts of sarcasm to be aimed at you.

I've been in contact with quite a few shareholders who have been seriously financially effected by recent events at MRVC.

Sorry again, but the company admitted in the last conference call that they were cash flow negative. I reported it in my lengthy summary of the conference call but apparently no one read it.

They said they expect to be cash flow neutral to slightly positive next quarter.

In my files I found a very sketchy Statement of Operations dated Nov.4, 1996 which shows Fibronics acquisition costs:
Purchased technology in progress $17,795,000
Restructuring costs 6,974,000

The earnings that quarter were a loss of $.67/share.
Someone may have posted a more thorough report. It would be around post number 550-555 on this thread.

I'm not trying to rain on your parade but we need to keep the facts straight. I wouldn't want anyone to get burned by this stock like I have been because they had incorrect information. I'm still long.

Take a look at the Xyplex acquisition. In Q1 (source is 10q filed May 15, 1998), MRVC wrote off over $30 million directly related to Xyplex, representing nearly the entire purchase price, and, also incurred a $23 million "restructuring" charge, which was apparently ignored in large part by being combined with the Xyplex charge. $23 million approximates a year's earnings for MRVC. Consider what would have happened if in March 98, MRVC had announced a $23 million restructuring charge without the benefit of the Xyplex charge to obscure it. I suspect the price would have gone right down to the teens. It certainly kept me out of the stock.
