Brooke,

No, I am not heading for any exit's tomorrow. I hope that your hostility is better discribed as frustration. I have been on the phone almost all day answering to people about this stock that "I" talked into them getting some. I feel so lost and trapped right now that I want to go and hide, but not so much that I am ready to quit. A good nights sleep may not help much but it will help a little...

Good night all

wb

I know that the 9-3-98 release contained language indicating that the company hoped to file the SB-10 this week but it was not a guarantee. So it won't happen. They hoped to but didn't. So we can now look forward to it being filed later. That has nothing to do with what I perceive as current expansion of the company as I read b/t the lines of old releases.
Why didn't the company file the SB-10 now? Probably b/c Jimmy is busy with the installation of boards he got from NMSS per a prior release. Probably it will be a stronger, more revealing document in another month or two.IMHO. Further,it may not be the time to give an in depth look into the company just when we are trying to tie up Egypt and Germany and get operational ,I would guess,in Asia. No need to show our hand( and the specifics of our contracts) to the competition too soon.
Now just go ahead and sell this stock back down to $0.16 and that 6 million share float will go into the tightest hands on(and off) this thread. There are probably a dozen or so of us who will buy every blessed share and not let go. If you think I am just blowing smoke then don't criticize me-just sell.
The horizon is much broader than the fears and emotions of every 100 share holder whose emotions rise and fall on a 1/4 point move. Now hear this, you won't get rich tomorrow in this stock but DGIV will be well on the road to making lots of money by year end.
Like I say, don't write back and condemn me-just sell. If you sell then you can move on to some other get rich penny stock that will break your heart while this one gradually moves on w/o you.
In the meantime, yes,I have visited with Jimmy and ,no, he isn't going to jump out of a 12th floor window over all this SB-10 flap. Heck, the building ain't that high. Good night all.

hi Brooke,
I do understand your "hostility" and "negativity". Under the cicumstances, I do not blame you one bit! Whether or not it was "correct", the fact remains that many investors thought that the filing of the sb10 would be imminent. We know now that it will take more time before it is filed, per the company's announcement.

I, like many, am disappointed that it will take more time before the sb10 is done. However, I am looking at the issues thusly:

(by the way, please understand that this is my "interpretation" of the issues surrounding DGIV at the moment. Others would have their own ideas)

In my mind, the sb10 was not and has never been the "defining issue" for the company. Rather, its main purpose would have been to enhance DGIV credibility to present as well as future investors. In my opinion, the key to DGIV has been and will always be contracts/revenues. Again, when it comes down to it, the contracts/revenue stream will be what determine DGIV worth/value, not the sb10.

From the DD made by many investors (including phone calls to Germany, UBS Jakarta, visits to see/talk to Jimmy Chin at DGIV office in Santa Monica) as well as from various announcements relating to alliances/contracts,the question of DGIV "credibility" (i.e.is it a "scam" like MTEI or is it "real") has been settled in my mind. There is no question that DGIV is a "real" company with an emerging presence as an global IP telephony company. The same things that have made DGIV an attractive investment previously are still what make DGIV an attractive investment for myself at this time: hot sector, an increasing presence in more and more countries in the world, the very high chance that somewhere down the line, it will be a perfect buyout cnadidate for a big telco,etc..

My "confidence" in DGIV credibility would not have changed even if the sb10 were filed (again, I am only speaking for myself...I am sure some other investors feel differently, that the sb10 would increase their "comfort" level). For myself, I know DGIV is 'real" and has "credibility"...again, I ask myself: would government in Germany, Russia, Indonesia, Egypt; would companies like NMSS (an established high-tech company) do business with DGIV if DGIV were not "real"????
The answer I have come up for myself is : DGIV is "real", with "real" technology, a 'real" CEO working madly to make more deals/alliances to grow the company and increase its ultimate worth! That is why the "extra piece" of crediblity that an official filing of the sb10 would not make any difference to myself in terms of proving whether or not DGIV is REAL!!

remember Cendant, Cyberguard?? these are companies that are nYSE or NASDAQ-listed with sb10,etc...Guess what? when enough of the officers of these companies wanted to cheat, fudge the "book", the dirty deeed was done, regardless of their filing status. My point is: if the company were going to "scam", a "filing" would NOT PREVENT IT! that is the reason the sb10 was never important to me in terms of "proving" DGIV credibility. To me, its credibility has been in the form of: how many contracts/ business alliances /deals DGIV is doing at this time??
Because, when it is ALL SAID and DONE, DGIV ultimate value/worth (i.e.,how high its buyout price will be??) will be determined by these deals!!!!

everyone has got to be "comfortable" with his/her investment choices. For some, the sb10 would give added "credibility". For myself, DGIV has already proven its "credibility" with its "business presence" and an sb10 would not enhance my "belief" in its "credibility" any further. Like I said, if a company really intends to 'scam", official filing would not be a deterrent, IMO.

the shame, in my opinion, is that investors would see the sb10 as the "end-all and be-all" of this company, and would forget why they invest in this company initially.Like I have stated previously, just think of how far this company has come in terms of its fundamentals since April, with its presence in an ever-lenghthening list of countries and its alliance with NMSS, its presence at the important IP telephony show in NYC this week,etc.....Again, this is what adds to the company ultimate value! All of these are enough reasons for me to believe that DGIV is REAL, not the filing of the sb10!!!

As I have stated above, this is only my opinion and why I invested in DGIV. Others will have to come to their own conclusions.
