LU & WCII announcement is great news for Winstar. This agreement looks very similar
to the contract LU has w/ARTT. Network design, integration and buildout services.
Interesting to watch this run together. Bill Rouhana has a large financial investment
w/ARTT. LU now has agreement in place w/both ARTT & WCII. Harry Hirsch has
been buying ARTT stock recently and last summer when Rouhana made a run at ARTT
their stock was around 13 and WCII was in the 40's and Wall Street applauded the
combo. You can bet LU believes the combination of ARTT & WCII is positive and would
create a huge advantage over TGNT.

October 22, 1998

Winstar Communications Inc. (WCII) rose as much as 6 5/16 to
25 7/8. The communications company and supplier of broadband
services to businesses and long-distance carriers said Lucent
Technologies Inc. (LU) will provide up to $2 billion in equipment
financing to build Winstar's fixed wireless broadband
telecommunications network in major domestic and international
markets as part of a new long-term strategic agreement.

Other broadband service providers also rose on anticipation
that other telecommunications equipment makers will offer their
companies similar equipment financing agreements, said Farley
Shiner, an analyst at Scott & Stringfellow. Advanced Radio
Telecom Corp. (ARTT) rose as much as 1 9/16 to 5 on an outflow of
$60,000; ICG Communications Inc. (ICGX) rose as much as 1 3/8 to
21 1/8; and Intermedia Communication Inc. (ICIX) rose as much as
1 7/8 to 24 7/8.

As you may have heard, Hirsch hasn't apparently been interested in being acquired by WCII. I question whether LU/WCII would change that. IMO, it was never a matter of WCII *having* enough $$.

AFA P-MP - LU doesn't really have P-MP (though they bought HP's 30 engineer LMDS team to push it forward). The $2B is likely primarily for LU switches, DLCs etc. 35% can be for non-LU equipment - likely with LU doing system integration. I suspect LU has looked closely at PCMS (and probably DMIC and others)
