Jonathan,

Looks to me that they want to buy up the vast majority of the company during tax season. Let me see,..... VEBA has 23MM shares. At todays price of $7 they could buy 106MM/7 shares or an additional 15.14MM shares bringing their total ownership to 38.342MM shares. The rest of us probably would not want to double our investment in the company that is going to dilute by 90% with our investment. So, Veba gets the remaining 13MM shares bringing their total ownership to 51.3MM shares or 74% of the company. What's in it for us the now very small minority? Someone once mentioned how good a deal it would be for VEBA to buy back now at todays prices and enjoy the profits made on the IPO-buyback deal. I guess this is not as bad as a "Floorless".
