but what does 8% mean for TMCS shareholders in terms of the share price. Im a bit confused in this kind of merger arrangement. How will the markets arrive at a fair stock price of USA Net which includes lycos and tmcs valuations....?

TMCS...

If you buy the 50 billion valuation for the
new merged entity..and that TMCS represents
an 8.5% stake then you get 4.250 billion
valuation divided by 69.5 million shares
or about $61.15 per TMCS share........
