Ron: I didn't see anything new in that article. When Phillips extended its tender period till April 16th, VLSI BOD reiterated its recommendation against shareholders tendering stock to Phillips. Given that the stock traded at 20 on Thursday, the last trading day before today, if a shareholder wanted cash for his shares, he'd sell them on the open market rather than tendering them for $17 to Phillips.

I assume that the relatively few people who tendered shares were incompetent and just sign anything they get without reading it, or were actually working for Phillips. There's just no reason to support Phillips' bid for 17.

Philips only got 144244 shares! That is a mere lagniappe and wouldn't help them a modicum in the takeover as of today. Their extension of the $ 17 offer to April 16, 1999 is quite strategic, however! April 16 is a Friday (and tax man also would have cometh!) and the next Monday April 19, 1999 VLSI reports earnings. On 19th VLSI will become as naked as possible to the widest world, if it screws up! Then stock could tank towards $ 17 or lower (estimate on the street is a loss of $ 0.01!). If VLSI reports better than Whisper number earnings, then it will go to $ 25- $35 on its own by year end! In such a scenario, Philips won't have any other option but to raise the price. Right now with no other open counter bid, Philips is playing the waiting game till 4-19-1999! IMHO hold on to VLSI, you won't be sorry later in 1999!
