Could someone explain (or speculate) rather than calling the shareholders in the last minute, why 3dfx's management could not have sent the proxies two or three weeks ago so that the shareholders would have the time to study and discuss it? Or was that the reason for not doing so?

3dfx wants the votes to count at tomorrow's meeting. If 3dfx does not have your vote at that time, it will not count towards the "quorum," and if 3dfx has a quorum, it will not count toward the final outcome. In order to receive the votes by tomorrow, it is highly recommended that the votes be sent in either electronically or by phone.
