OTOH, I view a rights offering as a much better alternative than a death-spiral convertible. In the UK rights offerings are common, and maybe they might spread to the US. A rights offering at least gives the ordinary shareholders the choice whether to put up more cash or get diluted.

For example, a company like ARIA might well have gotten away with a rights offering instead of the deadly package they actually went with.
