Kind of weird that they spelled the name of the president of the company John Schmidt in the section about how many shares are held by company officials. Last I checked the presidents name is John Schmitz, not Schmidt

Accredited Investor, when referring to individuals means the following:

"Any director, executive officer, or general partner of the issuer of the securities being offered or sold, or any director, executive officer, or general partner of a general partner of that issuer;

Any natural person whose individual net worth, or joint net worth with that person's spouse, at the time of his purchase exceeds $1,000,000;

Any natural person who had an individual income in excess of $200,000 in each of the two most recent years or joint income with that person's spouse in excess of $300,000 in each of those years and has a reasonable expectation of reaching the same income level in the current year;

Accredited investors are shareholders and there is no reason to reveal their names unless they are affiliates (which is also defined at the link above).

Hi Pat. I downloaded all the pages on the geocities site so that when I get my copy of the PPM and Form D from Disclosure I can compare them. As I recall you said that you have a copy from Disclousre already and it looks the same as the one posted on the geocities site to you, is that correct?

The only reason I ask is your question "What is an "accredited Investor" ? " is kind of odd if you have a copy of the PPM and have compared it with the one posted on the geocities site and it looks the same to you.

There one finds the exact same information concerning what an accredited investor is which ww provided a link to, and which I copied to a post in answer to your question.

Pat, I'm sure you just overlooked those two pages which had the answer to your question when you did your careful comparison.

Is it possible that there may be something else you have overlooked in your comparison of the geocities document and the one you received from Disclosure?
