when i raised the question of the value of the assets put into the JV some thought I was raising a silly question. now it doesn't look so silly. if the assets to be transferred relative to the total assets of Newco are less than ACMI's share of Newco, the value of ACMI I assume will be enhanced and that may help them with their NASDAQ problem. I assume that equity in a JV counts as tangible assets but perhaps not. Otherwise given that they are close to being in compliance they certainly can raise a little money to get over the threshhold.

But this is something that we should have seen coming.

Given the way the stock is trading today, I assume that the solution has already been found but just not yet been announced.

I guess we won't really know what is happening for another two weeks i.e. 7 - 10 days after Thursday. The company might share with us what they presented but they will not be able to speak to the response from NASDAQ.

The company has a market cap of $40MM they need to raise approximately 1% of their value.

Rather than buying back their stock they need to sell 300,000 shares. That shouldn't be very difficult. They can make a small acquisition for stock (no good will) and achieve this or pay a supplier in stock. It shouldn't be a problem.

Hopefully what they submitted to NASDAQ was a plan to solve the problem or better yet a report of how the problem already has been solved rather than a Clinton style request to ignore.

I assume that NewCo solves the problem which explains a lot about why the deal was made. Hopefully NewCo is the solution rather than something that makes the problem more difficult to address.
