Tranche Buyers can buy absolutely any number of shares up to the amount we are authorised to issue.

As this seems to be a very US deal then US buyers will buy in USDs, spending up to USD$50m which is the maximum we might seem to want in cash, and the maximum this document seems to set in place.

In theory we would double the current float if, say, they bought at US 0.50 per share.
That's an example and not what I expect the price to be at which shares are sold to the buyer.
God Forbid.

We need some good revenue news, or the buyer's hand gets even stronger and the issue price of each tranche gets smaller.

No, companies don't file S-3 registration statements (F-3 in this case, since Zentek is non-US) when they're issuing shares from treasury to a partner as part of a deal.

This filing has one purpose: it will allow Zentek to sell new shares, and potentially warrants, to the public.

There is no concurrent filing in Canada because they probably already have an active "shelf" in Canada. Zentek has never filed one in the US.

HH your post reminds me that there were 11m shares traded on Day 2 when we started the Nasdaq quote.

Yes indeedy, the 'partner' couldn't get 10m shares at $1.58 CDN as the market would send up the sp and it would get increasingly expensive over a week/month.

And that's exactly why they will buy a tranche of the US shares at an attractively Discounted price.

I believe the good news might very well be that a US 'partner' now wants in on the Aptamer stuff and knows we need cash pretty damn soon.

On that basis I believe that as soon as the SEC is happy (about 2 weeks?) we will see the partnership announced.
