FFP Partners owns $38,000,000 of real estate leased to FFP Marketing, Inc. for retail use. Of course, putting your eggs into one basket does increase risk, this "trading unit" is beat'n to a pulp - while providing increasingly positive results.

FFP Partners LP ("FFP"), in it's current form due to a reorganization that divided real estate from marketing. The result created FPP Marketing, Inc. owning retail marketing operations (AMEX: FMM; $4.00), and the continuation of FFP Partners owning the real estate assets. The bottom end of the above is the spin-off of FFP Marketing, Inc. to the Unit Holders of FPP Partners LP. This transaction occurred during December '98.

The quick view profile:

1. 1st quarter FFO $.12

2. During first quarter FFP doubled asset size.

3. Props are set to convert to REIT status, maybe (check our 10K).

4. In pact to refinance debt (latest 10Q).

5. Negative is the low equity compared to debt.

6. Positive is all accumulated depreciation on it's assets.

7. FFO during '98 of $.45 per share.

8. Hints of dividends sometime after debt restructuring.
