Yahoo Postings Prompt More Lawsuits

CS First Boston and Informix want to know the identities of users who are revealing confidential information.

Credit Suisse First Boston and Informix (IFMX) are the latest companies to file lawsuits against anonymous posters to finance-related message boards on Yahoo (YHOO) . Such message boards are proving to be a hotbed of legal activity, with companies accusing posters of making defamatory statements, sharing confidential information and spreading misinformation to prompt stock sales for their own benefit.

In both of the lawsuits, Yahoo is being asked to reveal the names of the anonymous posters. The company used to make little or no attempt to notify posters before identifying them, but Yahoo changed its policy in April so that it now gives users 15 days notice before revealing their personal information under subpoena. Yahoo does not comment on lawsuits or subpoenas, according to spokeswoman Shannon Stubbo.

The Credit Suisse First Boston lawsuit filed Tuesday in federal court in New York asks for $1 million from a group of posters who allegedly libeled and defamed the firm by making numerous derogatory comments about a CSFB analyst. CSFB declined to comment on the lawsuit.

Informix's lawsuit, filed June 30 in Superior Court in San Mateo, Calif., requests unspecified damages and states that its employee-confidentiality agreement had been breached. The lawsuit also charges that a poster leaked inside information by stating that Informix's fiscal report would be weaker than expected, several days before the company warned that its earnings would not meet analysts' expectations.

"We do not know who the poster is," says Daniel Bergeson, who is representing Informix in the matter. "Nor do we know if there has been a breach in the proprietary rights agreement."

Privacy rights activists argue that many such lawsuits are being abused by companies trying to squelch legal free expression by intimidating those who make negative comments about the companies online.

Many of the lawsuits are, in fact, dropped after the identities of the posters are revealed, and the employees are subsequently fired. Last year, for example, Raytheon (RTN.B) sued 21 John Does who posted on Yahoo but dropped the lawsuit after they were identified. They included Raytheon employees, four of whom were then let go.

"Former Informix exec charged with inflating revenues

A federal investigation into one of Silicon Valley's biggest securities fraud scandals on Thursday produced its first criminal charges with the indictment of the former top European sales executive at the Informix Corp.
In a federal grand jury indictment handed up in San Francisco, Walter Konigseder, a former Informix vice president currently living in Germany, is accused of vastly inflating the Menlo Park software company's sales figures in Europe in 1996. The European sales figures have been at the heart of accounting fraud allegations at Informix that have been blamed for investor losses exceeding $1 billion.
The 11-count indictment charges Konigseder with securities fraud, and pins responsibility for inflating the company's revenues by more than $25 million on his misconduct alone. Informix overall was forced two years ago to restate $300 million in earnings as a result of financial irregularities between 1994 and 1997.
The Securities and Exchange Commission earlier this year hit the company with administrative sanctions in connection with the fraud allegations. Informix and its accounting firm, Ernst & Young LLP, also had to pay roughly $142 million to investors to settle a spate of lawsuits, believed to be the biggest settlement of a securities fraud case in valley history.
The SEC on Thursday also filed a civil action against Konigseder. However, Konigseder is not expected to be the only former Informix executive charged in the case, according to lawyers following the case closely.
The FBI and SEC are continuing to investigate the accounting fraud that took place at Informix, and past allegations have focused on the company's former chief executive officer, Phillip White. The civil lawsuits directed much of the blame for the stock market fraud on White and other top lieutenants, including former chief financial officer Howard Graham.
According to court papers, White and others gave instructions to inflate the company's books to make it look more competitive with its chief rival, Oracle Corp. SEC investigators found that Informix management in 1995 and 1996 squelched internal audits that might correct the practices, particularly as they related to disclosures involving customers in Europe and Asia.
Federal officials say they will now attempt to extradite Konigseder to the United States to face the criminal charges.
Informix, a database software maker, is under new management and has cooperated with the federal investigation.

"COURT ENTERS DEFAULT JUDGMENT AND PERMANENTLY ENJOINS FORMER INFORMIX CORPORATION SENIOR MANAGER FROM VIOLATING ANTIFRAUD AND OTHER PROVISIONS

The United States District Court for the Northern District of California, on May 17, 2001, entered a default judgment and a final permanent injunction enjoining Walter Königseder ("Königseder"), formerly a Vice President of Informix Corporation ("Informix" or "Company") from violating or aiding and abetting violations of antifraud, reporting, record-keeping, and internal control provisions of the Securities Exchange Act of 1934 ("Exchange Act"). The Court granted the Securities and Exchange Commission ("Commission") all of the relief that the Commission sought in its October 5, 2000 Complaint against Königseder.

According to the Complaint, Königseder approved and ratified secret side letter agreements in connection with software license sales contracts that made revenue recognition on those contracts improper, and he approved and signed a purported contract that mischaracterized the underlying transaction so that revenue could be recognized prematurely. To inflate revenues and earnings further, Königseder directed the Company to enter into a phony software license sales contract. According to the Complaint, Königseder's misconduct caused the Company improperly to recognize approximately $25.5 million of revenue on six transactions and thus aided and abetted the Company's material overstatement of revenues and earnings for 1996 and the final three quarters of that year. Königseder subsequently signed a statement in which he lied about his knowledge of, and involvement in, the transactions for which revenue was recognized improperly.

Königseder is a citizen and resident of Germany. The Commission served him in Germany pursuant to the Hague Convention. When Königseder thereafter failed to respond to the Commission's Complaint, the Court entered the default judgment and the final permanent injunction enjoining Königseder from violating, or aiding and abetting violations of, sections 10(b), 13(a), 13(b)(2), and 13(b)(5) of the Exchange Act and Exchange Act rules 10b-5, 12b-20, 13a-1, 13a-13, and 13b2-1.

Previously, the Commission instituted and simultaneously settled an administrative proceeding against Informix. Informix Corp., Admin. Proc. No. 3-10130; SA Rel. No. 33-7788; SEA Rel. No. 34-42326; AAE Rel. No. 1215 (Jan. 11, 2000).

The Commission's investigation is continuing."

It's a hoot how a weak company's culture can infect a company. Your company is chock full of Informix employees and managers. Well 1 year ago July 2000, in San Mateo Court, Informix Slapped me under this screen name for being an employee (not), breaching my employment contract(not), and revealing confidential information about the company's revenue numbers (LOL, not, though I was right).

Shortly thereafter the CEO, Dexmier was run out of office and the lawsuit quietly went away.

This lawsuit is nothing more than a fishing expedition and an intimidation tactic. Keep yourself in the public eye as free speech is not a crime. I was interviewed by Newsweek, WSJ online, and Clientservernews2000 about this incident and caused an enormous amount of bad publicity for a company that tried to stifle the rights of shareholders to criticize management.
